Official websites covered: www.northstaremergencycenter.com and www.nstartec.com.
1. Acceptance of These Terms
These Terms of Use ("Terms") govern your access to and use of www.northstaremergencycenter.com and any other website operated by NorthStar Emergency Center that links to these Terms (collectively, the "Site").
By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site. If you use the Site on behalf of an organization or another person, you represent that you have authority to do so.
2. Emergency Warning
The Site is not an emergency-response service and is not monitored continuously.
If you believe you or another person may be experiencing a medical emergency, call 911 or go to the nearest appropriate emergency facility immediately. Do not use the Site, contact form, email, or social media to request emergency help.
Do not delay or disregard professional medical care because of information on the Site.
3. General Information Only — Not Medical Advice
Site content is provided for general educational and informational purposes. It is not a diagnosis, treatment recommendation, individualized medical advice, substitute for an examination, or guarantee that a particular service or treatment is appropriate for you.
Symptoms and medical conditions vary. A qualified healthcare professional must evaluate your individual circumstances. Use of the Site does not create a physician-patient, clinician-patient, fiduciary, or other professional relationship with NorthStar or any clinician.
A clinical relationship may be established only through appropriate in-person care and required registration, consent, and clinical processes—not by browsing the Site, sending a form, calling for general information, or receiving a general response.
4. No Guarantee of Services, Availability, Results, or Wait Time
Descriptions of conditions, tests, equipment, clinicians, hours, insurance, or services are general and may change. Availability depends on staffing, equipment, patient condition, medical judgment, legal requirements, and other circumstances.
NorthStar does not guarantee:
- That a particular clinician or specialist will be available
- That a particular test, medication, procedure, or treatment will be provided
- A diagnosis, clinical result, recovery, or outcome
- A particular response or wait time
- Insurance coverage, network status, benefit level, or patient cost
- That Site content is complete or appropriate for every person
Clinical decisions are made by qualified professionals based on the patient's condition and applicable standards of care. Information on the Site does not override those decisions.
5. Contact Forms, Email, and Communications
General website forms and ordinary email are not secure channels for sensitive medical information and are not monitored around the clock. Do not submit medical records, Social Security numbers, insurance identifiers, payment-card information, prescription requests, or urgent symptoms through them.
Submitting a message does not guarantee a response, appointment, treatment, admission, or transfer. If NorthStar responds electronically, the response is for general communication unless clearly stated otherwise.
You are responsible for providing accurate contact information and keeping your devices and accounts secure.
6. Privacy and Health Information
Our Privacy Policy explains how we handle general Site information. Our HIPAA Notice of Privacy Practices explains how we may use and disclose protected health information in connection with healthcare services and describes patient rights.
A Site privacy statement, cookie banner, or acceptance of these Terms is not a HIPAA authorization for uses or disclosures that legally require a separate written authorization.
7. Permitted Use
NorthStar grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Site for lawful, personal, noncommercial informational purposes, subject to these Terms.
You may not:
- Use the Site for an unlawful, fraudulent, harmful, or abusive purpose
- Attempt to gain unauthorized access to the Site, servers, accounts, data, or networks
- Introduce malware, malicious code, or harmful material
- Interfere with Site security, operation, availability, or another person's use
- Scrape, harvest, crawl, copy, or extract Site content or personal information through automated means without written permission, except as allowed by law and standard search-engine indexing
- Impersonate a person or misrepresent your identity or affiliation
- Submit false, defamatory, threatening, infringing, or unlawful material
- Use Site content to train a commercial artificial-intelligence model or create a competing commercial service without written permission
- Remove copyright, trademark, or proprietary notices
- Frame, mirror, reproduce, republish, sell, or commercially exploit the Site or its content without written permission
We may restrict or terminate access when we reasonably believe these Terms have been violated or Site security is at risk.
8. Intellectual Property
The Site and its content—including text, graphics, logos, design, photographs, illustrations, icons, software, and arrangement—are owned by NorthStar or its licensors and are protected by intellectual-property laws.
"NorthStar Emergency Center," related names, logos, and trade dress may be trademarks of NorthStar or their respective owners. No license to use a trademark is granted except with prior written permission.
You may print or save a reasonable number of pages for personal, noncommercial reference, provided you do not alter the content or remove notices.
9. Accuracy and Updates
We try to provide useful information but do not warrant that Site content is accurate, complete, current, error-free, or suitable for a particular purpose. Medical knowledge, laws, hours, staffing, service availability, and insurance arrangements can change.
NorthStar may update, remove, suspend, or discontinue Site content or functionality at any time. A statement that a service is generally available does not promise that it will be available in every case or at every moment.
If Site information conflicts with direct instructions from a clinician or emergency responder, follow the individualized professional instructions.
10. Third-Party Websites and Services
The Site may link to or display information from third parties, including maps, government resources, health-information sources, insurers, and social platforms. Links are provided for convenience and do not imply endorsement, control, or responsibility.
Third-party services have their own terms and privacy practices. NorthStar is not responsible for third-party content, security, availability, accuracy, products, services, or conduct. Access them at your own discretion.
11. User Submissions and Feedback
If you send nonconfidential feedback, suggestions, corrections, or ideas about the Site, you grant NorthStar a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate them without compensation or attribution, subject to applicable privacy and healthcare laws.
This provision does not authorize NorthStar to use PHI contrary to HIPAA or our Notice of Privacy Practices and does not apply to medical records or legally protected complaints.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." NORTHSTAR DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES REGARDING THE SITE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.
NORTHSTAR DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, FREE FROM HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.
Nothing in these Terms disclaims a duty or liability that cannot lawfully be disclaimed, and nothing limits rights arising from healthcare services that are governed by separate law and clinical documents.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHSTAR AND ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, REVENUE, PROFITS, GOODWILL, OR USE, ARISING FROM OR RELATED TO THE SITE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHSTAR'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID NORTHSTAR, IF ANY, SOLELY TO USE THE SITE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.
These limitations apply only to Site use and not to liability that cannot lawfully be limited, including any rights or claims arising from separately rendered healthcare services where such a limitation would be invalid.
[COUNSEL: Confirm the liability cap and all-uppercase presentation under Texas law.]
14. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless NorthStar and its affiliates, officers, directors, employees, contractors, licensors, and agents from claims, damages, obligations, losses, liabilities, costs, and expenses arising from your unlawful misuse of the Site, violation of these Terms, or infringement of another person's rights.
This section does not apply to the extent prohibited by law and does not alter rights relating to medical care.
15. Governing Law and Venue
These Terms and disputes arising solely from Site use are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Subject to applicable law, exclusive venue will lie in the state or federal courts located in Harris County, Texas, and you consent to their jurisdiction.
Nothing in this section prevents a party from seeking emergency injunctive relief or exercising a right that cannot legally be limited.
[COUNSEL: Decide whether to add arbitration or a class-action waiver. None is included in this draft.]
16. Changes to These Terms
We may update these Terms by posting a revised version and changing the effective date. Changes apply prospectively when posted unless a different date is stated or applicable law requires another form of notice or consent. Continued use after the effective date means you accept the revised Terms.
17. Termination
We may suspend or terminate Site access at any time for security, maintenance, legal compliance, or suspected violation of these Terms. Provisions that by their nature should survive termination will survive, including intellectual-property, disclaimers, limitations, indemnification, and dispute provisions.
18. General Terms
If a provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. These Terms, together with incorporated policies, form the entire agreement concerning Site use and supersede prior Site-use understandings.
You may not assign your rights under these Terms without our written consent. NorthStar may assign its rights and obligations in connection with a merger, reorganization, asset transfer, or by operation of law.
